Below we present the Terms of Use and Navigation Conditions, a document that lists the main rules that must be observed by everyone who accesses our Services Platform.

When accessing our Services Platform, it is assumed that you have read and agreed to all the terms below and that you have the full civil capacity of the user to browse the content of our websites and/or contract any of our services.

Regdrive.com is a Service Platform on the world wide web, “Internet”, which offers explanatory content about our services, as well as, in the case of the Service Platform, access by registered and paying Customers for the services, specific information provided by regulatory bodies, specialized consultants, compliance policies, laws, regulations and specific functionalities for governance, risk and compliance management.

The following definitions and descriptions should be considered for a better understanding of this document:

AntiSpan: System that prevents unwanted emails, such as mass advertising, by blocking messages or moving them to a specific folder.
Spider app: Program developed to obtain information in an automated way on the Internet.
Access account: Credential of a paying Customer, which allows access to the Platform, paid and exclusive services, it is defined by the username and password.
Layout: Set comprising appearance, design and flows of the Portal.
Link: Terminology for determining the address of a website or a page on the world wide web, “Internet”.
Logs: Records of activities by visitors and Customers, carried out on the Portal.
Regdrive: Name used in these Terms of Use and in the Privacy Policy to identify the holder and owner of this website, LYE Consultoria em Informática Ltda – ME, a company with headquarters and legal jurisdiction in the city of São Paulo, State of São Paulo, at Alameda dos Maracatins , nº 1435 - Conj 302 - Indianópolis – CEP 04089-015.
Portal Regdrive.com: It determines the websites and internet pages hosted on https://regdrive.com and its subdomains, it comprises the Website and the Service Platform.
Service Platform or simply Platform: Designates the pages, contents and information restricted to registered and paying Regdrive.com Customers.
Site: Denomination for internet pages, in our case, Regdrive.com content open and available for navigation by any User.
User(s): People who browse or interact with the Regdrive.com website.
Client(s): People who purchase any of the paid services offered by the Regdrive.com Platform.
Webmastering: It comprises the creation, programming, development, control and availability of internet pages.

Access and functionality restrictions
1. This Portal is dedicated to searching, contracting services and accessing information for management and regulatory compliance, storage and management of documents, compliance policies, laws, regulatory knowledge base, codes of conduct, regulations, compliance flow management, risks and controls and audit process of companies, based on a cloud computing system.
  1. Users and Clients are not allowed to access the programming areas of the Portal, its database or any other set of information that is part of the Webmastering activity, being subject to the Brazilian criminal legislation and obliged to repair the damages caused.
  2. It is also not authorized to carry out or allow reverse engineering, nor to translate, decompile, copy, modify, reproduce, rent, sublicense, publish, disclose, transmit, lend, distribute or, in any other way, make available tools for consulting this Portal and its functionalities.
2. Users and Customers are not allowed to modify data packets sent to Regdrive.com, either by changing the source IP address or returning data or by the loaded payload, such as the application of other techniques to mask, hide, alter or spoof your IP address when accessing or attempting to do so, or generally interfering with the smooth functioning of the connection between your device and the Regdrive.com servers.
  1. The User and Customer must also not submit content to Regdrive.com that contain malicious programs or scripts, under penalty of suspension or cancellation of the access account, as provided in 2.8.
3. In this Portal, the use of spider applications or data mining, of any type or type, is prohibited, in addition to another one not typified here, but which acts in an automated way, either to carry out mass operations or for any other purposes, under the application of the legislation Brazilian criminal law and to repair the damages resulting from this use.

4. It is the responsibility of Users and Clients to pay for the necessary means to browse this Portal, including the requirements for Internet access.
General information about the website and its operation
1. Regdrive.com is presented to the web public in the way it is available, being able to have constant improvements and updates, not being obliged to maintain a structure or layout, but for its own convenience.
2. Regdrive.com strives for the continuous and permanent availability of the Portal, being subject, however, to extraordinary events, such as natural disasters, failures or collapses in the central communication systems and access to the Internet or facts of third parties, which are beyond its sphere of surveillance and responsibility.
3. Regdrive.com is not responsible for any damage, injury or loss to the equipment of Users and Customers caused by failures in the system, in the server or in the Internet connection, even if resulting from the conduct of third parties, including the actions of malicious software such as viruses. , Trojan horses, and others that may, in any way, damage the equipment or connection of Users and Clients as a result of access, use or navigation in this Portal, as well as the transfer of data, files, images, texts, audios or videos contained therein.
4. Likewise, Regdrive will not be liable for consequential damages or lost profits arising from the unavailability, errors, failures, bugs and vulnerabilities of Regdrive.com, including the functionality of the Portal or the integrity and availability of data submitted by Users and Customers.
5. Users do not have any right to demand the availability of the Site as they see fit, nor can they claim compensation or compensation for damages in the event that this Site remains offline, regardless of the reason.
6. Regdrive does not hold any responsibility for the navigation of Users and Clients in the external links contained in the Portal, being their duty to read the Terms of Use and Privacy Policy of the accessed site and act accordingly. They will also be primarily responsible if any damage or loss occurs, since safe navigation is up to them and the Regdrive.com Portal only pointed out the link, and it is up to the interested party to visit the site, or not.
  1. Regdrive does not verify, control, approve or guarantee the adequacy or accuracy of the information or data made available in such links, not being, therefore, responsible for damages, losses or damages caused by the visit of such sites, being up to the User and Client to verify the reliability information and data displayed there before using them.
  2. Losses, damages or losses caused by delays, defects, errors or omissions that may exist in the systems or services made available by the sites mentioned above, are not the responsibility of Regdrive, but of its respective controller.
7. Regdrive is not responsible for acts performed by Users and Customers on its Portal, each of which must be imputed according to the quality of use of the Platform.
8. Regdrive may suspend or delete the access accounts of its Users and Customers who fail to comply with these Terms of Use, who violate the Law by using Regdrive.com or who act unethically, at any time and without the need for prior notice, which will not entitle to any indemnity or reimbursement, under any pretext.
Communication of the Portal with its Users and Clients
1. Regdrive will be able to use all the communication channels provided and authorized with its Users and Clients, in its most diverse modalities, be it email, phone call or sending by SMS.
  1. Users and Clients are solely responsible for receiving communications, so it is essential that they always provide correct and accurate data, in addition to keeping them up to date.
  2. It is also up to you to leave your AntiSpam systems configured so that they do not interfere with the receipt of communications and materials from Regdrive.com, and no excuse is acceptable if you have not had access to any e-mail due to this blocking or similar filter.
Privacy of Users and Customers on the Portal
1. Regdrive.com has its own document, called Privacy Policy, which regulates the treatment given to the registration information and other information and collected data.
2. The Privacy Policy is an integral and inseparable part of the Terms of Use and Navigation Conditions of this Portal, and can be accessed through the link found at its footer.
3. Should any provision of the Privacy Policy conflict with any provision of this document, the more specific provision shall prevail.
Portal Obligations
1. Regdrive undertakes with Users and Customers to:
  1. Keep the digital environment safe, as well as its management operations and recorded data, except for a third party's destructive act that goes beyond the committed efforts and the current state of technology, in which case it will not be responsible for damages arising from this harmful practice.
  2. Preserve the functionality of the Portal, with unbroken links, using a layout that respects usability, security and navigability, facilitating navigation whenever possible and ensuring a reliable environment to carry out your actions.
  3. Display the functionalities in a clear, complete, precise and sufficient way so that there is an exact perception of the actions performed.
  4. Guarantee, through available technical means, the secrecy and confidentiality of the data entered in the functionalities offered in its Portal, only being accessible to whom the User and Client define, in addition to himself.
User and Client Obligations
1. Users and Clients undertake to navigate with ethical rectitude, always respecting the conditions governing the use of the Portal.
2. When providing data and information, Users and Customers undertake to always do so with a commitment to truthfulness and authenticity, under penalty of applying the penalties of the law, to indemnify those who cause damage and to have the access account of this Portal excluded.
3. In the event of damage to the Portal or third parties, the person responsible undertakes to bear all obligations to indemnify the injured party, and Regdrive shall not be responsible for such damages.
4. Users and Clients must use the resources of this Portal for the purposes for which it was constituted, under penalty of applying the penalties of the law, to indemnify those who cause damage and to have the access account of this Portal excluded.
5. Also, Users and Customers must maintain the secrecy of their access account data, their password and other authentication devices in relation to third parties, not disclosing or sharing them with anyone, under penalty of deleting the account and having to to reimburse the damages resulting from this undue disclosure.
  1. If the User suspects that the confidentiality of his password has been breached or that an authentication device has been compromised, he must change or update it as soon as possible. If you are unable to access the Internet for support, you should seek assistance from available channels.
6. Recognize as valid, legitimate and effective all legal acts performed through your access account on Regdrive.com, not being able to claim repudiation as to the form at the time of contracting this service or the operations carried out subsequently.
7. The User and Customer undertake to defend, indemnify and keep Regdrive and its collaborators free of damage from any claim or request arising from the misuse of the Platform or the violation of these Terms of Use, especially in the judicial sphere.
Copyright and intellectual property of the Portal
1. The commercial use of the expression Regdrive.com as a brand, corporate name or domain name, in addition to the contents of the Portal screens, as well as the programs, databases, networks and their files are the property of Regdrive and are protected by Laws and international treaties on copyright, trademarks, patents, models and industrial designs.
2. By accessing this Portal, Users and Customers declare that they will respect all intellectual property rights and those arising from the protection of trademarks, patents and/or industrial designs, deposited or registered in the name of Regdrive, as well as all rights related to third parties that may be, or were, in some way, available on the Portal. Simply accessing the Portal does not grant them any rights to the use of names, titles, words, phrases, trademarks, patents, images, data and information, among others, that are or were available therein.
3. The reproduction of the contents described above is prohibited, except with prior written authorization from Regdrive or if they are intended for exclusively personal use and without the Users and Clients acquiring any rights over them under any circumstances.
4. It is allowed to make only the temporary archive of this Portal and its content, being prohibited its use for commercial, publicity or any other purpose that goes against the reality for which it was conceived, as defined in this document. The reproduction, distribution and dissemination, in whole or in part, of the texts, figures, graphics that make up this Portal are also prohibited, without prior and express authorization from Regdrive, with only the printing of copies being permitted for personal use and archiving, without being separated the parts that allow to give the faithful and real understanding of its content and objective.
5. Users and Clients assume any and all liability, civil and/or criminal, for the improper use of information, texts, graphics, brands, works, images, in short, any and all intellectual or industrial property rights of this Portal.
6. Any other type of use of authorized material, including for editorial, commercial or advertising purposes, can only be done with the prior and express consent of Regdrive. Users and Customers are aware, through this item, that unauthorized commercial use may incur civil and criminal infractions, as it is infringing the copyright law.
7. Any reuse of authorized material must be subject to a new Regdrive authorization.
8. Authorization to use the requested material cannot be transferred to third parties, even if linked to the authorized subject for some reason.
9. Any use not contemplated in the aforementioned authorization will be considered as a violation of copyright and subject to the applicable sanctions in Law 9.610, of February 19, 1998, which protects copyright in Brazil.
10. The use of the functionalities offered will take place in the form of a service provision, not granting the User and Client any rights over the software used by Regdrive or its computer structures that support the internet applications.
11. The eventual removal of any content or functionality of this Portal, as a result of any claim, should always be understood as a demonstration of our intention to avoid unpleasantness and, never, as an acknowledgment of guilt or any infringement by Regdrive of the right of a third party.
12. If the User or Customer sends content to Regdrive through the Regdrive.com Portal or through the channels disclosed that concern ideas for new products, improvements in existing products, advertising campaigns or any other marketing action, they will no longer belong to the intangible assets of the User or Client, entering Regdrive's, nothing being able to claim in this sense, above all pecuniary reward for what was sent or revision in the models used.
Of the functionalities of the Regdrive.com Portal
1. Regdrive.com offers information and functionalities for offering and contracting service packages, for example, but not limited to:
  - Creation and maintenance of the Platform to offer products and services;
  - Customer Management;
  - Access and management of regulatory base and information managed by Regdrive or by third parties;
  - Tool that allows you to organize audit processes, through the definition of audit activities;
  - Integrated framework for risk management and institution controls;
  - Conformity assessment processes, through control flows of regulatory activities;
  - Several features and tools that allow governance, risk and compliance management.
2. Regdrive makes use of safeguarding and protection mechanisms compatible with the current state of the art to prevent data loss, even in cases of incidents or disasters.
  1. Regdrive is not responsible in cases where there is accidental deletion or modification of data by the Customer or who uses its access account improperly, as it has no obligation to restore the data in its previous stage.
  2. Likewise, Regdrive is not obliged to repair any damage caused by the ineptitude of its Users and Customers in using the tool and contracting the services, which does not imply the duty to provide any kind of training on the functionalities offered.
3. To access the Platform, internet connectivity is essential. If the User or Client does not have the necessary connection, Regdrive is not obliged to refund any amount already paid as compensation.
4. The specific terms of the contract will establish the service levels to be met by Regdrive and the reimbursement hypotheses in case the Platform becomes unavailable.
5. Regdrive reserves the right not to publish or delete content sent by Users and Customers, at any time, without prior notice and no right to compensation to anyone, which contains:
  - Offense to the honor, image, reputation and dignity of third parties;
  - Pornography, pedophilia, and other forms of sexual gratification;
  - Racism or discrimination of any kind;
  - Bullying, stalking or any other form of illegal harassment or harassment;
  - Manifests violation of copyright or image rights;
  - Use of brands, symbols, logos or emblems of third parties;
  - Instigation or apology for the commission of crimes, such as trafficking or use of narcotics, rape, homicide, embezzlement, among others;
  - Use of violence, hate speech or any other form of aggression against someone's physical well-being;
  - Commercial activity similar to Regdrive.com or that uses the Platform to raise funds through third-party advertising instead of practicing regular interaction with the environment;
  - Errors or suspected mistakes.
6. Users and Customers may use the email contato@regdrive.com whenever they witness or verify inappropriate content on the site.
  1. The report will be confidential and will preserve the identity of the visitor.

Modifications to these Terms and Conditions
1. These Terms of Use and Navigation Conditions are subject to constant improvement and improvement. Thus, Regdrive reserves the right to unilaterally modify this document and its Privacy Policy at any time.
General Provisions
1. The use of Regrive.com will be canceled in the event of bankruptcy or court-supervised reorganization by Regdrive or by the Customer, if a legal entity; if an individual, the declaration of civil insolvency.
2. The User and Customer agree that Regdrive may assign the rights and obligations arising from these Terms of Use to any other company that is its controlling, controlled or affiliated company, in whole or in part, according to its convenience and interest, without the need to prior notice or obligation of indemnity or reimbursement, under any pretext.
3. The tolerance of any non-compliance with any of the clauses and conditions of this instrument will not constitute novation of the obligations stipulated herein, nor will it prevent or inhibit their enforceability at any time.
4. This Portal is based on the official time of Brasilia.
5. If any provision of these Terms of Use is considered illegitimate by the authority of the location where the visitor or user accesses the Portal, or maintains a link, the other conditions will remain in full force and effect until further notice.
Applicable Law and Jurisdiction
1. The Terms and Conditions of Use described herein are interpreted in accordance with Brazilian law, in the Portuguese language, with the Jurisdiction of the Comarca of São Paulo in the State of São Paulo being elected to resolve any dispute, question or supervening doubt, with express waiver of any other, no matter how privileged.
